What we do
- Advise on instrument choice (equity, CCPS, CCDs, convertible notes for DPIIT-recognised startups) and the FEMA (Foreign Exchange Management Act) and tax consequences of each.
- Review the term sheet and shareholders' agreement for compliance issues; align the Articles.
- Run the private-placement / preferential-allotment process: valuation report, board and shareholder resolutions, offer letter (PAS-4), separate bank account, allotment, PAS-3 within 15 days, share certificates, register updates.
- File FC-GPR (Foreign Currency – Gross Provisional Return) within 30 days for foreign investors; obtain FIRC/KYC from the bank.
- Prepare the compliance due-diligence data room investors will ask for.

- Complete transaction file: resolutions, PAS-3 and FC-GPR acknowledgements, updated cap table and registers, share certificates.
