Every change to what the company can issue or has issued needs the right resolutions and Registrar filings.
What we do
- Increase authorised capital (ordinary/special resolution, Form SH-7 within 30 days, stamp duty).
- Rights issues, bonus issues, sweat equity and ESOP allotments (board/shareholder approvals, PAS-3, MGT-14 where a special resolution is passed).
- Buybacks and capital reductions (solvency declarations, SH-8/SH-9/SH-11, NCLT process for reductions).
- Conversions: OPC ↔ private, private ↔ public, LLP ↔ company.
