Transfers of shares in an Indian company — including sale by or to a foreign shareholder — require a valuation, stamp duty, the transfer instrument and RBI reporting.
What we do
- Prepare the share-transfer deed (Form SH-4), compute and pay stamp duty (0.015% of consideration), obtain board approval and update the register of members and share certificates.
- For resident ⇄ non-resident transfers: valuation under FEMA (Foreign Exchange Management Act) pricing guidelines, Form FC-TRS (Foreign Currency – Transfer of Shares) within 60 days, bank KYC, and tax withholding on the seller's capital gains (with treaty analysis and Form 15CA/15CB for remittance).
- Advise on gift transfers, transfers between two non-residents, and transfers within a group.
Documents you'll need
- Existing share certificates, share purchase agreement, buyer/seller KYC, valuation report, board resolution, bank FIRC/KYC (for foreign buyer), tax-residency certificate of a non-resident seller
